This document outlines the Terms and Conditions that govern the use of space and services at Ways to Success. By signing the Licence Agreement, you (“the Member”) agree to be bound by these terms.
- Definitions
- The Company: “Ways to Success,” also referred to as “we,” “us,” or “our.”
- The Member: The individual, company, or entity named in the Licence Agreement, also referred to as “you” or “your.”
- The Premises: The building located at 56–72 Market Place, Romford, London, UK.
- Licensed Space: The specific Retail Pod, Private Office, or Storage Unit allocated to the Member as detailed in the Licence Agreement.
- Licence Agreement: The specific agreement signed by both the Company and the Member, which details the Licensed Space, Licence Fee, and Licence Period.
- Licence Fee: The total amount payable by the Member for the use of the Licensed Space and included services.
- Licence Period: The duration of the agreement, typically six (6) months unless otherwise specified.
- Common Areas: All areas within the Premises that are not a Licensed Space, including hallways, kitchens, toilets, and reception areas.
- Licence to Occupy
2.1. The Company grants the Member a non-exclusive licence to occupy the designated Licensed Space for the Licence Period, subject to these Terms and Conditions.
2.2. This agreement constitutes a licence to occupy and is not a lease. The Member is not granted any legal interest or exclusive possession of the Licensed Space or the Premises.
2.3. The Company retains the right to access the Licensed Space at any time for maintenance, safety inspections, emergencies, or to show the space to prospective members, providing reasonable notice where practicable.
- Fees and Payment
3.1. The Licence Fee is as stated in the Licence Agreement and is payable in advance for the agreed term (e.g., upfront for the 6-month period).
3.2. The Licence Fee is inclusive of rent, business rates, electricity, water, heating, and high-speed Wi-Fi (for Offices and Retail Pods). Any services not explicitly listed as included are considered additional and may incur extra charges.
3.3. All fees are quoted exclusive of VAT, which will be added at the prevailing rate where applicable.
3.4. If any payment is not received by the due date, the Company reserves the right to charge interest on the overdue amount at a rate of 4% above the Bank of England base rate and/or suspend access to the Licensed Space and all services until payment is made in full.
- Member’s Obligations
The Member agrees to:
4.1. Use the Licensed Space solely for the agreed business purpose as outlined in the Licence Agreement.
4.2. Maintain the Licensed Space in a clean, tidy, and good condition at all times.
4.3. Comply with all applicable UK laws, regulations, and legislation, including Health & Safety at Work regulations.
4.4. Not cause any nuisance, damage, or annoyance to the Company, its staff, or other Members within the Premises.
4.5. Not make any alterations, additions, or installations to the Licensed Space without prior written consent from the Company.
4.6. Not use the Company’s address for company registration at Companies House without prior written consent, which may be subject to an additional fee.
4.7. Report any damage to the Licensed Space or Premises to the on-site management team immediately.
- Company’s Obligations
The Company agrees to:
5.1. Provide the Member with access to the Licensed Space during the standard access hours of 9:00 AM to 7:00 PM, seven days a week.
5.2. Take reasonable steps to maintain the Premises and Common Areas in a good state of repair.
5.3. Provide the services included in the Licence Fee (e.g., utilities, Wi-Fi) to a reasonable standard.
- Insurance and Liability
6.1. The Company is not liable for any loss, theft, or damage to the Member’s property, equipment, or stock. The Member is solely responsible for the security of their belongings.
6.2. The Member must hold and maintain adequate Public Liability Insurance (minimum £2 million coverage) and Contents Insurance for all property and stock kept within the Licensed Space. The Member must provide proof of this insurance to the Company upon request.
6.3. The Member agrees to indemnify the Company against all claims, costs, and liabilities arising from any breach of this agreement or any act of negligence by the Member or their guests.
- Business Support Programme
7.1. Access to the Company’s Business Support Programme (including marketing support, workshops, legal clinics, and e-commerce guidance) is provided at the sole discretion of the Company.
7.2. These support services are offered as a complimentary benefit and do not form a contractual obligation. Their availability, format, and content may change at any time.
7.3. Any advice provided through the Business Support Programme is for guidance purposes only and does not constitute professional legal, financial, or marketing advice. Members must seek their own independent professional advice.
- Termination
8.1. This Licence Agreement will terminate automatically at the end of the Licence Period unless renewed by mutual agreement.
8.2. The Company may terminate this agreement with immediate effect if the Member:
- a) Fails to pay the Licence Fee by the due date.
- b) Commits a serious or repeated breach of these Terms and Conditions.
- c) Becomes insolvent or enters into liquidation.
8.3. Upon termination, the Member must immediately vacate the Licensed Space, remove all their property and stock, and return all keys and access cards to the Company. The Company reserves the right to dispose of any items left behind after 14 days, at the Member’s expense.
- Data Protection
The Company will process the Member’s personal data in accordance with its Privacy Policy and the UK General Data Protection Regulation (GDPR).
- General
10.1. This agreement is personal to the Member and cannot be assigned or transferred to any third party.
10.2. Any notice to be served under this agreement must be in writing and delivered to the registered address of the other party.
10.3. This agreement is governed by and construed in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English courts.
